Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of shophavenwell.com and all products, content, and services made available through the Site (together, the "Service") by Legacy Ro Holdings LLC ("HavenWell," "we," "us," or "our"), a limited liability company organized under the laws of the State of Florida. By visiting the Site or placing an order, you accept and agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility and Use of the Website

You must be at least 18 years old or the age of majority in your jurisdiction, and capable of entering into a binding contract, to purchase products from the Site. You agree to use the Site only for lawful purposes and not to:

• Violate any applicable law, regulation, or these Terms.
• Upload or transmit viruses, malicious code, or material that is defamatory, obscene, or harmful.
• Attempt to gain unauthorized access to the Site, other user accounts, or our systems.
• Interfere with or disrupt the Site or the servers and networks on which it runs.
• Use data mining, bots, or similar automated tools to extract information from the Site without our written consent.

Accounts

If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@shophavenwell.com if you suspect unauthorized access.

Product Listings, Pricing, and Availability

We work hard to describe products, images, and specifications accurately. Still, we do not guarantee that every listing is free of error. Colors, finishes, and photographs may vary based on your display, and manufacturer specifications may change without notice.

Prices, promotions, and availability are subject to change at any time, without prior notice, until your order has been accepted. We reserve the right to correct pricing or description errors and to cancel any affected orders, including orders that have been confirmed and charged. If your order is cancelled for this reason, we will refund the full amount paid.

Order Acceptance and Cancellation

Receipt of an order confirmation email does not constitute acceptance of your order. Your order is accepted when the product ships from our fulfillment partner. HavenWell reserves the right, in its sole discretion, to refuse or cancel any order, limit the quantities of any product, or require additional information before accepting an order - including but not limited to orders flagged for suspected fraud, resale, or export.

You may cancel an order at any time before it ships by emailing support@shophavenwell.com. Once an order has shipped, cancellations must follow the Return & Refund Policy.

Payment

You agree to pay all charges at the prices in effect when you place your order, including applicable taxes and shipping. By submitting a payment method, you represent that you are authorized to use it and authorize us to charge your chosen payment method for the total amount of the order.

Shipping, Returns, and Warranties

Our Shipping Policy and Return & Refund Policy are part of these Terms. For large freight items, including Cold Plunge tubs and oversized Red Light Therapy panels, a valid phone number may be required so the freight carrier can schedule delivery. If a phone number is not provided or cannot be verified, shipment may be delayed.

Product warranties are provided by the manufacturer. Where applicable, HavenWell will help coordinate warranty claims with the manufacturer or authorized supplier at no additional cost.

Intellectual Property

The Site, including all text, graphics, logos, product photography, video, software, and the "HavenWell" name and marks, is owned by Legacy Ro Holdings LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for personal, non-commercial use. You may not copy, modify, reproduce, republish, distribute, or create derivative works of any content without our prior written consent.

User Submissions

If you submit reviews, comments, photos, or other content to HavenWell, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, and distribute that content in connection with the Site and our marketing. You represent that you own or have the rights to the content you submit and that it does not violate any third party's rights.

Third-Party Links

The Site may link to third-party websites or services. We do not control and are not responsible for the content, policies, or practices of any third-party site. Accessing third-party sites is at your own risk.

Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, HAVENWELL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PRODUCT-SPECIFIC WARRANTIES ARE PROVIDED BY THE MANUFACTURER AND ARE GOVERNED BY THE MANUFACTURER'S OWN WARRANTY TERMS. NOTHING ON THE SITE CONSTITUTES MEDICAL ADVICE; CONSULT A QUALIFIED HEALTHCARE PROFESSIONAL BEFORE BEGINNING ANY RECOVERY, COLD-EXPOSURE, LIGHT-THERAPY, OR PERCUSSIVE-THERAPY PROTOCOL.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACY RO HOLDINGS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID TO HAVENWELL IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Legacy Ro Holdings LLC and its officers, members, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party right.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in the State of Florida, and you consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top indicates when the current version took effect. Your continued use of the Site after an update constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
